Lawsuit Threatens Matterport’s $1.6 Billion CoStar Merger Amid Allegations of Unethical Practices

Matterport, a California-based PropTech company, is facing a lawsuit that could jeopardize its $1.6 billion takeover by real estate giant CoStar.

Former Matterport Sales Executive Vinatha Kutagula filed the lawsuit on August 2nd, accusing the company of illegal and unethical practices. Hired in 2021, Kutagula was promoted to the executive leadership team but was fired in March 2024 after raising concerns about financial risks and workplace misconduct.

Kutagula claims top executives targeted her after she flagged improper sales practices and legal risks, including deals that could have harmed the company post-merger. She alleges her termination came within an hour of reporting these issues to CEO RJ Pittman.

Matterport denies the claims, calling them baseless, while reporting a 6.7% revenue increase and $144 million in net losses in its latest filings. As CoStar remains silent, the lawsuit casts uncertainty over the acquisition.
